1. These terms, and who we are
These terms are an agreement between you and DTxPlus, Inc., a Delaware corporation ("DTxPlus," "we," "us"). They govern your use of the Carrie by DTxPlus website where they're posted (the "Site"). Use the Site and you accept them. If you don't accept them, don't use the Site.
We may update these terms. The date above tells you when we last did. Using the Site after a change means you accept the change.
2. What the Site is
The Site describes Carrie, our AI care-orchestration system, and gives you ways to contact us, including the scoping-call form.
Carrie herself is delivered to healthcare organizations under separate written agreements: master services agreements, statements of work, business associate agreements, and data-handling agreements. Those contracts govern the service, its performance, and its handling of patient information. Nothing on the Site amends them, and nothing on the Site is an offer of care, coverage, or clinical services.
We work to keep Site content accurate and current. We may change, move, or remove content at any time, and we don't promise it is complete or error-free. Statistics on the Site carry endnotes saying where they were measured or published; read a number together with its endnote.
3. No medical advice
Site content is general information about our products. It is not medical advice, diagnosis, or treatment, and reading it creates no clinician-patient relationship. Carrie never diagnoses, prescribes, or places orders; clinical judgment stays with the care team.
If this is an emergency, call 911. If you're in crisis or thinking about suicide, call or text 988, any hour.
4. Who may use the Site
You must be 18 or older. The Site is written for a professional audience in the United States: people evaluating Carrie for a healthcare organization, and patients looking for the Did Carrie call you? page. It is not directed to children.
5. What you send us
When you submit the scoping-call form or email us, you agree that what you send is accurate and yours to share, and that we may use it to respond, schedule, and follow up as described in our privacy policy.
Leave patient information out of the forms. The scoping-call form asks which patients a deployment would cover; describe the group, like "post-discharge heart failure patients." Leave out names, birth dates, record numbers, and anything else that identifies a person. If identifying information slips through, email legal@dtxplus.com and we'll delete it. The Site keeps no patient records.
6. Rules for using the Site
Don't:
- break any law, or use the Site to send unlawful, deceptive, or infringing material;
- probe, scan, overload, or disrupt the Site, or bypass its security or rate limits;
- scrape or harvest content or data at scale, including for training machine-learning models, without our written permission;
- misrepresent who you are or who you work for;
- copy the Site's design or content to market a competing product.
If you find a security flaw, email legal@dtxplus.com and give us a reasonable chance to fix it before you publish it.
7. Our content and marks
The Site and its content (text, graphics, audio, page design, code) belong to DTxPlus or our licensors and are protected by copyright and other intellectual-property laws. "DTxPlus," "Carrie," "FHIR Connect Engine," and our logos are our marks; don't use them without our written permission.
You may view the Site and share links to it while evaluating our products. That's the whole license. The sample call recording is for listening on the Site; don't republish or edit it.
8. Other people's sites
The Site links to third-party sites and plays content through third-party services. We don't control them, and their own terms and privacy policies apply when you use them.
9. Disclaimers
The Site is provided "as is" and "as available," without warranties of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Site will be uninterrupted, error-free, or free of harmful components.
10. Limits on our liability
To the fullest extent the law allows: DTxPlus will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of the Site, and our total liability for all claims arising from the Site is capped at 100 US dollars. Some places don't allow some of these limits, so parts of this section may not apply to you.
This section covers the Site only. Liability for the Carrie service is set in the service contracts described in section 2.
11. If your misuse causes a claim
If a third party brings a claim against DTxPlus because you violated these terms or misused the Site, you'll defend us against it and cover the resulting costs, including reasonable attorneys' fees.
12. Suspension
We may suspend or block access to the Site for conduct that violates these terms or threatens the Site's security or other visitors.
13. Governing law and where disputes go
Delaware law governs these terms, without regard to its conflict-of-laws rules. Any dispute about the Site or these terms goes to the state or federal courts sitting in Delaware, and you and we each consent to their jurisdiction.
14. The fine print
If part of these terms is found unenforceable, the rest stands. If we don't enforce a term today, we can still enforce it later. You can't assign these terms; we can, including in a merger or sale. These terms are the whole agreement about Site use; the service contracts in section 2 stay separate and control the service.
